Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you ("you," "your," or "Customer") and GotFreight ("GotFreight," "we," "us," or "our") governing your access to and use of the GotFreight platform at https://gotfreight.io, our applications, and related services (collectively, the "Service"). GotFreight is an AI-powered sales rep and CRM built for freight brokers and asset-based carriers. The Service helps you find prospective shippers, draft and send personalized outreach email from your own connected mailbox, sort replies, prepare quotes, and manage a sales pipeline.
Please read these Terms carefully. The most important thing to understand up front is this: GotFreight is a tool you operate. When the Service sends email, it sends it through your own connected inbox, as you, on your behalf and at your direction. You — not GotFreight — are the sender of that email and are solely responsible for who you contact, what you say, and complying with every law that applies to your outreach. Section 4 ("Acceptable Use and Your Responsibilities") spells this out and you should read it closely.
By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service. These Terms include an agreement to resolve disputes through binding arbitration and a waiver of class actions (Section 15).
1. 1. Acceptance of These Terms
By accessing or using the Service, creating an account, or clicking a button or checkbox indicating acceptance, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If we make a separate written order form, subscription agreement, or enterprise agreement with you, that signed document controls where it conflicts with these Terms.
These Terms apply to every user who accesses your account, including your employees, dispatchers, and teammates. You are responsible for making sure everyone who uses the Service under your account follows these Terms.
2. 2. Description of the Service
GotFreight provides software that helps freight brokers and carriers run outbound sales. Depending on your plan and configuration, the Service may: identify and enrich prospective shipper contacts using third-party B2B data; research companies and lanes; draft personalized cold and follow-up emails using AI; send and schedule that email through a mailbox you connect (Gmail via Google OAuth, Microsoft 365/Outlook via Microsoft OAuth, or any provider via SMTP/IMAP); verify email addresses before sending; read and sort replies in your connected mailbox; draft freight quotes; and track leads, conversations, and deals in a CRM pipeline.
GotFreight is a tool and infrastructure provider. We do not control your industry, your prospects, the messages you choose to send, your sending lists, or whether your outreach is lawful in a given context. We may add, change, or remove features at any time. We will try to give reasonable notice of material adverse changes to core functionality, but we are not obligated to maintain any specific feature.
3. 3. Eligibility, Accounts, and Security
To use the Service you must be at least 18 years old, be able to form a binding contract, and use the Service for legitimate business purposes connected to freight brokerage or carrier operations. The Service is intended for business-to-business use, not personal or consumer use.
You must provide accurate account information and keep it current. You are responsible for safeguarding your login credentials and for all activity that happens under your account, whether or not you authorized it. Do not share credentials. Notify us promptly at admin@gotfreight.io if you suspect unauthorized access. We may refuse, suspend, or close accounts at our discretion, including where information is false or use violates these Terms.
- You are responsible for every action taken under your account and every connected mailbox.
- When you connect a mailbox, you confirm you own it or are authorized to use it for business outreach.
- You must keep your billing and contact information accurate so we can reach you about your account.
4. 4. Acceptable Use and Your Responsibilities (Outreach and Compliance)
This is the most important section of these Terms. The Service sends email through your own connected mailbox, as you, at your direction. For every message sent through your account, you are the sender of record and the party legally responsible for it. GotFreight is not the sender, is not your agent for legal-compliance purposes, and does not review, approve, or vouch for your recipients, lists, or content. You bear full responsibility for your outreach and its consequences.
You are solely responsible for complying with all laws, regulations, and platform rules that apply to your messages and your business, including but not limited to the U.S. CAN-SPAM Act, Canada's Anti-Spam Legislation (CASL), the EU/UK General Data Protection Regulation (GDPR) and ePrivacy rules, the Telephone Consumer Protection Act (TCPA) and applicable rules for any calls or texts you make outside the Service, state privacy and anti-spam laws, and the terms of service and sending policies of Google, Microsoft, and any other email or data provider you connect.
You represent and warrant, for each and every recipient you contact through the Service, that you have a lawful basis and right to contact that person at that address for the purpose of your message. You are responsible for determining whether consent, a legitimate-interest basis, an existing business relationship, or another lawful basis is required and exists. GotFreight does not make that determination for you and does not warrant that any contact data, list, or recipient is lawful for you to email.
Email you send must comply with anti-spam requirements, including: accurate and non-deceptive "from," "reply-to," and routing information; a subject line that is not misleading; clear identification that the message is a commercial solicitation where required; a working, easy, and free opt-out (unsubscribe) mechanism; honoring opt-out and suppression requests promptly (and not contacting people who have opted out); and a valid physical postal address for your business in the message. You are responsible for configuring these elements correctly in your account and content.
You must not use the Service to send to lists you have no lawful basis to contact. This includes purchased, rented, scraped, or harvested lists, and any contacts obtained in violation of a third party's terms, where you do not have an independent lawful basis to email those individuals. You may not use the Service to send spam, malware, phishing, deceptive, fraudulent, harassing, defamatory, or unlawful content, or to impersonate any person or entity.
- You — not GotFreight — are the sender of every message and are solely responsible for compliance with CAN-SPAM, CASL, GDPR, TCPA, and all other applicable law.
- For each recipient, you warrant you have a lawful right and basis to contact them at that address.
- Every commercial message must include a working, free opt-out and your valid physical postal address, and you must honor opt-outs promptly.
- Do not email purchased, rented, scraped, or harvested lists you have no independent lawful basis to contact.
- Do not use the Service for spam, phishing, malware, fraud, impersonation, harassment, or any unlawful or deceptive content.
- Do not exceed sending limits or evade the throttles, warmup ramps, or guardrails built into the Service or your mailbox provider.
- Do not use the Service in any way that could get our infrastructure or shared sending reputation blocklisted or suspended.
- You are responsible for monitoring your own bounce rates, spam complaints, and deliverability and for pausing or adjusting outreach as needed.
5. 5. Connected Mailboxes and Third-Party Authorizations
To send and read mail, you connect a mailbox using OAuth (Google or Microsoft) or SMTP/IMAP credentials. By connecting a mailbox, you authorize GotFreight to access that mailbox solely to provide the Service — for example, to send messages you direct, schedule sends, and read and sort replies on your behalf. You may disconnect a mailbox or revoke our access at any time through your account settings or the provider's security settings; doing so will stop the related functionality.
Our access to and use of data from Google and Microsoft APIs is limited to providing and improving the Service to you and adheres to the applicable provider requirements, including the Google API Services User Data Policy (including the Limited Use requirements) and Microsoft's API terms. We do not use mailbox content for advertising, and we do not sell it. Our Privacy Policy describes this in more detail, including the Limited Use disclosure.
6. 6. Subscriptions, Credits, Billing, Renewals, and Refunds
The Service is offered on subscription plans (currently $299, $499, and $899 per month) plus optional credit packs, and may include a free trial. Certain actions in the Service — such as prospecting, enrichment, research, verification, sending, and reply handling — consume credits. Plan tiers, included credits, prices, and what consumes credits are described at sign-up and in your account, and may change over time.
By subscribing, you authorize us and our payment processor (Stripe) to charge your payment method for your plan and any credit packs or overage you purchase. Subscriptions renew automatically at the end of each billing period (monthly, unless stated otherwise) at the then-current rate until you cancel. Fees are stated exclusive of taxes; you are responsible for applicable taxes other than taxes on our net income.
You can cancel at any time from your account or by contacting admin@gotfreight.io. Cancellation stops the next renewal; it does not retroactively refund the current period, and access continues until the end of the paid period. If a free trial converts to a paid plan, you will be charged unless you cancel before the trial ends.
Except where required by law or expressly stated otherwise, payments are non-refundable, and credits are non-refundable, non-transferable, and have no cash value. Unused credits may expire as described in your plan. If we materially decrease the Service or change prices for a renewal term, we will give notice, and your continued use after the change takes effect is acceptance; if you do not agree, your remedy is to cancel before renewal. We may suspend the Service for non-payment after reasonable notice.
7. 7. Your Data and Ownership
As between you and GotFreight, you own the data you provide or generate through the Service, including your contacts, lead lists, message content, replies, quotes, CRM records, and uploaded documents ("Customer Data"). You grant GotFreight a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data as necessary to provide, secure, maintain, and improve the Service, to send email at your direction, and as otherwise permitted by our Privacy Policy.
You represent that you have all rights and lawful bases necessary to provide Customer Data to us and to have us process it for the Service, including any personal data of your prospects and contacts. You are the controller of personal data about your prospects, and GotFreight processes it on your behalf as described in our Privacy Policy. We handle Customer Data in accordance with our Privacy Policy at https://gotfreight.io, which forms part of these Terms. We may use aggregated and de-identified data that does not identify you or any individual to operate and improve our products.
8. 8. Intellectual Property
GotFreight and its licensors own all rights, title, and interest in the Service, including the software, models, prompts, workflows, designs, logos, and documentation, and all related intellectual property. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, solely for your internal business purposes and subject to these Terms.
You may not copy, modify, reverse-engineer, decompile, scrape, frame, resell, sublicense, or create derivative works of the Service; remove proprietary notices; use it to build a competing product; or access it to benchmark or for any unauthorized purpose. Any feedback or suggestions you give us may be used by us without restriction or obligation to you. Except for the limited license above, no rights are granted to you by implication.
9. 9. Third-Party Services
The Service relies on and integrates with trusted third-party providers, including secure cloud infrastructure and database hosting, payment processing (Stripe), B2B contact-data providers, enterprise AI providers, mailbox providers (Google and Microsoft, for OAuth-based send/read of your own connected mailbox), transactional email delivery, and email verification services. Your use of those integrations may be subject to the third party's own terms and policies, and we are not responsible for third-party services we do not control.
Third-party data — including contact details, company information, and verification results — can be incomplete, outdated, or inaccurate, and we do not warrant it. You are responsible for how you use third-party data, including ensuring you have a lawful basis to contact anyone whose details you obtain through the Service. Third parties may change, deprecate, or interrupt their services, which can affect the Service; we are not liable for those changes or interruptions.
10. 10. AI Output Disclaimer
The Service uses artificial intelligence to generate emails, research, summaries, quotes, and other output. AI output is generated automatically and can be inaccurate, incomplete, outdated, biased, or inappropriate for your situation. It may contain errors about companies, lanes, pricing, contacts, or facts, and it may not reflect current market conditions.
You are responsible for reviewing all AI-generated content before you rely on it, send it, or present it to a customer. Treat AI output as a draft and a starting point, not as advice or a finished, verified deliverable. GotFreight does not guarantee the accuracy, completeness, quality, legality, deliverability, or fitness of any AI output, and does not guarantee any particular business result, including replies, meetings, bookings, loads, inbox placement, or revenue. Quotes and rate suggestions are estimates only and are not binding offers unless you choose to make them so.
11. 11. Service Availability and No Warranties
The Service is provided "AS IS" and "AS AVAILABLE," with all faults and without warranties of any kind. To the maximum extent permitted by law, GotFreight disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, that defects will be corrected, that messages will be delivered or land in any inbox, or that the Service will meet your requirements or produce any particular outcome. Email deliverability depends on many factors outside our control, including your sending behavior, your domain and mailbox reputation, recipient filters, and the policies of mailbox and data providers. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
12. 12. Limitation of Liability
To the maximum extent permitted by law, GotFreight and its officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunities, or reputation, arising out of or related to the Service or these Terms, even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
Our total aggregate liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the total amounts you paid to GotFreight for the Service in the three (3) months immediately before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). These limitations apply to all claims and theories of liability, whether in contract, tort, statute, or otherwise. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
13. 13. Indemnification
You agree to defend, indemnify, and hold harmless GotFreight and its officers, directors, employees, agents, and suppliers from and against any claims, demands, actions, investigations, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your outreach and any messages sent through your account or connected mailbox, including any claim that they violate CAN-SPAM, CASL, GDPR, TCPA, or any other anti-spam, privacy, marketing, or consumer-protection law; (b) your sending lists and your basis (or lack of basis) for contacting any recipient; (c) your Customer Data and content; (d) your violation of these Terms or of any law or third-party right, including the terms of any provider you connect; and (e) your use or misuse of the Service.
We may, at our option, assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us. You will not settle any matter that imposes obligations on GotFreight or admits fault on our behalf without our prior written consent.
14. 14. Suspension and Termination
You may stop using the Service and cancel your subscription at any time as described in Section 6. We may suspend or terminate your access, in whole or in part, with or without notice, if we reasonably believe you have violated these Terms (especially Section 4), if your activity threatens the security, integrity, deliverability, or reputation of the Service or other customers, if required by a provider (such as Google or Microsoft) or by law, or for non-payment.
On termination, your right to use the Service ends and we may deactivate your account and connected mailboxes. We may delete Customer Data after termination in accordance with our Privacy Policy and retention practices; you are responsible for exporting any data you want to keep before your account closes. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.
15. 15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules, and the federal laws of the United States that apply. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Except for claims that may be brought in small-claims court, and except for requests for injunctive relief to protect intellectual property or confidential information, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered under the rules of a recognized arbitration provider, conducted in English, seated in California. To the maximum extent permitted by law, you and GotFreight agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action, and the arbitrator may not consolidate more than one person's claims. If the class-action waiver is found unenforceable, the rest of this section survives, but class claims will proceed only in court. If arbitration does not apply, the state and federal courts located in California will have exclusive jurisdiction, and you consent to that venue. Any claim must be brought within one (1) year after it arises, or it is permanently barred, except where applicable law prohibits such a limitation.
16. 16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will take reasonable steps to notify you, such as posting the updated Terms with a new effective date or emailing the address on your account. Changes take effect when posted unless we say otherwise.
Your continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree to a change, you must stop using the Service and may cancel your subscription before the change applies to your next renewal.
17. 17. General
These Terms, together with the Privacy Policy and any order form we sign with you, are the entire agreement between you and GotFreight regarding the Service and supersede prior agreements on that subject. If any provision is found unenforceable, the rest remains in effect and the unenforceable provision will be limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver.
You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, employment, or joint venture between you and GotFreight, and there are no third-party beneficiaries. We are not liable for delays or failures caused by events beyond our reasonable control, including outages of third-party providers, internet failures, or force majeure events.
